Frigauge — Terms of Service

These Terms of Service ("Terms") govern access to and use of the website at frigauge.com (the "Site") and the purchase of refrigerant products from Frigauge ("Frigauge," "we," "us," or "our"). By accessing the Site, creating an account, or placing an order, you ("Customer," "you," or "your") agree to these Terms. If you do not agree, do not use the Site or purchase our products.


1. About Frigauge and Who May Buy

Frigauge is a United States–based wholesale distributor of refrigerant gases and related products, shipped from the United States. This is a business-to-business platform for licensed, qualified trade buyers only. Refrigerants are sold strictly for professional use and resale by EPA-certified technicians and the businesses that employ them. Our products are not offered for sale to the general public.

2. Definitions

  • "Products" means refrigerant gases supplied in cylinders, cans, or drums, and related accessories.
  • "Certified Buyer" means a technician holding valid EPA Section 608 certification (or Section 609 for motor-vehicle air-conditioning refrigerants), or a business that employs at least one such certified technician and has provided written evidence to Frigauge.
  • "Order" means a request to purchase Products.
  • "Destination Country" means the country to which Products are shipped or in which they are resold or used.

3. Eligibility and Required Certification

3.1 To place Orders you must register a business account and qualify as a Certified Buyer. Before your first purchase you must provide valid proof of EPA Section 608 (or Section 609, as applicable) certification, or written evidence that you employ a certified technician, together with the names of persons authorized to purchase or receive refrigerant on your account.

3.2 You represent and warrant that (a) your certification is valid and current; (b) you are at least 18 years old and authorized to bind your business; and (c) all information provided is accurate. You agree to notify us promptly if your certification status changes.

3.3 Frigauge verifies certification before shipment and retains records of the purchaser, date, and quantity for each sale as required by EPA regulations. We may refuse, suspend, or cancel any Order or account where certification cannot be verified.

4. Refrigerant Sales Restriction and Regulatory Compliance

4.1 All sales are made in accordance with the refrigerant sales restriction under Section 608 of the Clean Air Act (40 CFR Part 82, Subpart F) and the American Innovation and Manufacturing (AIM) Act. Refrigerant in containers larger than two (2) pounds is sold only to Certified Buyers.

4.2 You agree that you will not resell, distribute, or transfer Products to any person or entity that is not a Certified Buyer, and that you will use and handle Products only in equipment and applications covered by your certification.

4.3 You are responsible for compliance with all federal, state, and local laws governing the purchase, handling, use, recovery, recycling, reclamation, and disposal of refrigerants, including the prohibition on knowingly venting or releasing refrigerant to the atmosphere.

4.4 You acknowledge that certain refrigerants are phased out or restricted. Where Frigauge supplies a phased-out refrigerant (for example, reclaimed R-22), it is supplied as reclaimed or otherwise lawfully available product, and you agree to purchase and use it only as permitted by law.

5. Product Authenticity and Descriptions

5.1 Frigauge supplies genuine refrigerant in properly filled, manufacturer-sealed, or DOT-compliant cylinders. [Where applicable, state the purity standard you meet, e.g., AHRI 700.]

5.2 We strive for accuracy in descriptions, specifications, and images but do not warrant they are error-free or current. Specifications may change without notice. We may correct errors and cancel affected Orders.

6. Pricing, Quotes, and Minimum Orders

6.1 Wholesale pricing is provided through your account or by written quote, exclusive of taxes, duties, hazmat freight, cylinder deposits, and other charges unless stated.

6.2 Quotes are valid for [NUMBER] days, subject to availability. Minimum order quantities, if any, are as stated on the Site or quote.

6.3 The price applicable to an Order is the price confirmed in our written Order acknowledgment. We may change pricing at any time.

7. Orders and Acceptance

7.1 Submitting an Order is an offer to purchase. No Order is binding until Frigauge issues a written acknowledgment or ships the Products.

7.2 We may refuse, limit, or cancel any Order, including for failed certification verification, suspected non-compliant use, pricing errors, credit concerns, or insufficient inventory.

8. Payment Terms

8.1 Accepted payment methods and terms are as stated at checkout or in your account agreement.

8.2 For approved net-terms accounts, payment is due within [NET TERMS] of the invoice date. Overdue amounts may accrue interest at [RATE]% per month or the maximum permitted by law, plus reasonable collection costs.

8.3 Taxes. You are responsible for all applicable sales, use, and similar taxes. To claim an exemption, provide a valid resale or exemption certificate before the Order is processed.

9. Shipping, Hazardous Materials, Title, and Risk of Loss

9.1 Hazmat. Refrigerants are U.S. DOT–regulated hazardous materials (typically Class 2.2 compressed/liquefied gas; certain A2L refrigerants such as R-32 and R-454B are mildly flammable). Products are packaged, labeled, marked, and shipped in compliance with 49 CFR by qualified hazardous-materials carriers.

9.2 Origin and terms. Products ship from the United States. Unless otherwise agreed in writing, Products are sold [Incoterm, e.g., FOB / FCA — Origin], and title and risk of loss pass to Customer upon [delivery to the carrier / the point specified in the applicable Incoterm].

9.3 Delivery estimate. Frigauge's standard delivery estimate is approximately 15 days from the date the Order is accepted, subject to availability, certification verification, and carrier hazmat handling. Delivery dates are estimates only; we are not liable for delays beyond our reasonable control.

9.4 Receipt. Delivery may require receipt by an authorized person on your account. Inspect all Products on arrival and report any damage, leak, or shortage within [NUMBER] days. Do not use any leaking or damaged cylinder; isolate it and follow the manufacturer's safety instructions.

9.5 International shipments. For shipments outside the United States, Customer is the importer of record and is responsible for all duties, taxes, customs clearance, import licenses, and compliance with Destination Country regulations (including, where applicable, EU/UK F-Gas requirements and Canada's halocarbon regulations), unless expressly agreed otherwise in writing.

10. Cylinders, Deposits, and Returns

10.1 Refillable cylinders may be supplied on a deposit or exchange basis and remain subject to DOT cylinder requirements; title to such cylinders [does/does not] pass to Customer as stated at purchase.

10.2 Returns require a Return Merchandise Authorization (RMA). Because refrigerant is a hazardous material, opened, partially used, or improperly returned Product cannot be accepted except for verified defects, and returns must be shipped in compliance with 49 CFR. Restocking fees of [PERCENT]% may apply to authorized returns of unopened Product.

11. Limited Warranty

11.1 Frigauge warrants that, at the time of delivery, Products will conform to the applicable specification and purity standard for the type ordered, for a period of [WARRANTY PERIOD] from delivery.

11.2 This warranty does not cover Product that has been opened, contaminated, mishandled, improperly stored, or used contrary to the manufacturer's instructions or applicable law.

11.3 Your exclusive remedy is, at Frigauge's option, replacement or refund of the affected Product's purchase price.

11.4 EXCEPT AS EXPRESSLY STATED, PRODUCTS ARE PROVIDED "AS IS," AND FRIGAUGE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Safety, Handling, and Lawful Use

12.1 Refrigerants are hazardous and, in some cases, flammable (A2L) or under high pressure. They must be transported, stored, handled, and used only by qualified, EPA-certified technicians in accordance with the product Safety Data Sheet (SDS), manufacturer instructions, and all applicable codes.

12.2 Federal law prohibits knowingly venting or releasing refrigerant to the atmosphere. You are responsible for proper recovery, recycling, reclamation, and disposal.

12.3 You assume full responsibility for the safe and lawful handling and use of Products after delivery.

13. Limitation of Liability

13.1 TO THE FULLEST EXTENT PERMITTED BY LAW, FRIGAUGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE PRODUCTS.

13.2 FRIGAUGE'S TOTAL AGGREGATE LIABILITY FOR ANY ORDER SHALL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

13.3 Nothing limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.

14. Indemnification

You agree to indemnify, defend, and hold harmless Frigauge and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your breach of these Terms; (b) your loss or lapse of required certification; (c) your handling, use, storage, recovery, or disposal of Products; (d) any resale or transfer to an uncertified party; (e) any unlawful venting or release; or (f) your non-compliance with the laws of any Destination Country.

15. Export and Trade Compliance

Products and related data are subject to U.S. export-control and sanctions laws, and refrigerant-specific international rules (including the Montreal Protocol and Kigali Amendment regimes). You agree to comply with all applicable export, re-export, and import laws and not to transfer Products to any restricted party or prohibited end use.

16. Intellectual Property

The Site and all content, trademarks, and the "Frigauge" name and mark are owned by or licensed to Frigauge and protected by law. You may not use them without our prior written consent, except as necessary to resell Products to Certified Buyers in the ordinary course.

17. Force Majeure

Frigauge is not liable for failure or delay caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, supply-chain or carrier disruption, regulatory action, or pandemics.

18. Governing Law and Dispute Resolution

18.1 These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

18.2 Any dispute arising out of or relating to these Terms or the Products shall be resolved exclusively in the state or federal courts located in Harris County, Texas, and the parties consent to the personal jurisdiction and venue of such courts. 19. Privacy

20. Changes to These Terms

We may revise these Terms at any time by posting an updated version with a new "Last updated" date. Continued use or ordering after changes are posted constitutes acceptance.

21. General Provisions

21.1 Entire Agreement. These Terms, with any written quote, Order acknowledgment, and account agreement, are the entire agreement and supersede prior understandings.

21.2 Severability. If any provision is unenforceable, the remainder stays in effect.

21.3 No Waiver. Failure to enforce any provision is not a waiver.

21.4 Assignment. You may not assign these Terms without our prior written consent; we may assign freely.

21.5 Conflicting Terms. Conflicting pre-printed terms on Customer purchase orders are rejected unless expressly agreed in writing by Frigauge.
